Terms of Service

These Terms of Service ("Terms") govern your access to and use of MatterMaster's desktop application and web portal (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that:
- You are at least 18 years old
- You have the authority to bind your organization
- You will comply with all applicable laws and regulations
- You have read and understood our Privacy Policy and these Terms
2. Description of Service
MatterMaster provides automated time tracking software designed for Australian legal professionals. The Service includes:
- Desktop application with local AI processing for screenshot analysis
- Web portal for team management and reporting (optional team features)
- Time entry management and export capabilities
- Team collaboration features for organizations
MatterMaster is NOT:
- A practice management system
- An invoicing or billing tool
- A trust accounting system
- A deadline management or calendar system
- Legal advice of any kind
3. License and Restrictions
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.
You agree NOT to:
- Reverse engineer, decompile, or disassemble the Service
- Remove or modify any proprietary notices
- Use the Service for any illegal purpose
- Share your account credentials with others
- Interfere with or disrupt the Service or servers/networks
- Attempt to gain unauthorized access to the Service
- Use the Service to spam or harass others
- Resell or redistribute the Service without authorization
4. User Accounts and Organizations
Account Creation: You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your password.
Organization Accounts: If you create an organization, you become the "Owner" and are responsible for all activity under that organization, including managing users and paying subscription fees.
Account Termination: You may close your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Payment and Billing
Subscription Fees: Paid plans require payment of subscription fees in advance. Fees are non-refundable except as required by law.
Billing Cycles: Subscriptions renew automatically unless cancelled. You will be charged at the beginning of each billing period.
Price Changes: We may change prices with 30 days notice. Changes take effect at your next renewal.
Taxes: Fees are exclusive of taxes. You are responsible for all applicable taxes including GST.
Payment Failure: If payment fails, we may suspend your account until payment is received.
6. Data Ownership and Responsibilities
Your Data: You retain all ownership rights to your data, including screenshots, time entries, and client information. We claim no rights to your data.
Your Responsibilities: You are solely responsible for:
- The accuracy and legality of data you input into the Service
- Compliance with professional conduct rules and legal obligations
- Maintaining backups of important data (we recommend regular exports)
- Obtaining necessary consents for workplace monitoring
- Ensuring screenshots do not capture prohibited or sensitive content
Data Backup: While we implement backup procedures for cloud data, you are responsible for maintaining your own backups of critical information.
7. Acceptable Use Policy
MatterMaster is designed for self-monitoring and consensual team time tracking. You agree:
- To use the Service only for lawful purposes
- To obtain proper consent before monitoring others
- To comply with workplace surveillance laws
- Not to use the Service for covert or unauthorized surveillance
- Not to capture or store illegal content
- To respect the privacy of others
- To maintain professional conduct standards
8. Professional Confidentiality
Your Obligations: You remain solely responsible for maintaining lawyer-client privilege and professional confidentiality. The Service is a tool to assist your practice, not a substitute for professional judgment.
Our Commitment: We maintain strict data separation and local processing to support your confidentiality obligations, but cannot guarantee that screenshots will not capture privileged information. Use the Service in accordance with your professional obligations.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE ARE NOT LIABLE FOR ANY LOST BILLABLE TIME, REVENUE, OR PROFITS
- OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE ARE NOT LIABLE FOR DATA LOSS (YOU MUST MAINTAIN BACKUPS)
- WE ARE NOT LIABLE FOR THIRD-PARTY SERVICES OR INTEGRATIONS
10. Indemnification
You agree to indemnify and hold harmless MatterMaster, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or regulation, (d) your violation of any third-party rights, or (e) your monitoring of others without proper consent.
11. Disclaimers and Warranties
No Warranties: The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Accuracy: We do not warrant that the AI analysis will be 100% accurate or that time entries will be error-free. You are responsible for reviewing and correcting time entries.
Availability: We do not guarantee uninterrupted access to the Service. Scheduled maintenance and unexpected outages may occur.
Legal Compliance: We do not warrant that the Service meets all requirements for your specific jurisdiction or practice area. Consult your professional obligations.
12. Modifications to Service and Terms
Service Changes: We may modify, suspend, or discontinue any part of the Service at any time with or without notice.
Terms Changes: We may update these Terms from time to time. Material changes will be notified via email or the Service. Continued use after changes constitutes acceptance.
13. Termination
By You: You may terminate your account at any time through account settings. Cancellation takes effect at the end of your current billing period.
By Us: We may terminate or suspend your account immediately if you violate these Terms, fail to pay fees, or engage in conduct harmful to the Service or other users.
Effect of Termination: Upon termination, your access to the Service ends. Cloud data is retained for 30 days then permanently deleted. Local data remains on your device unless you delete it.
14. Intellectual Property
Our IP: The Service, including all software, designs, logos, and trademarks, is owned by MatterMaster and protected by intellectual property laws.
Feedback: If you provide feedback or suggestions, we may use them without obligation or compensation to you.
15. Governing Law and Disputes
Governing Law: These Terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of Australia.
Dispute Resolution: We encourage you to contact us first to resolve any disputes informally. If informal resolution fails, disputes may be resolved through mediation before litigation.
16. General Provisions
Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and MatterMaster regarding the Service.
Severability: If any provision is found invalid, the remaining provisions remain in effect.
No Waiver: Our failure to enforce any right does not waive that right.
Assignment: You may not assign these Terms. We may assign them without restriction.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
